1. About these terms and acceptance

These Terms of Service ("Terms") govern your access to and use of the website at jwbn.org (the "Website") and form the general framework for the business-to-business services provided by JWBN Ltd ("JWBN", "we", "us" or "our"). By accessing or using the Website, or by engaging us to provide services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.

These Terms are intended for business users. Our services are offered on a business-to-business basis, including to companies, sole traders and individual creators acting in a professional or business capacity.

2. Who we are

JWBN Ltd is a private limited company registered in the Republic of Cyprus under registration number HE 484041, with its registered office at 5 Artemidos Ave., Artemidos Tower, 8th Floor, 6020 Larnaca, Cyprus. You can contact us at [email protected].

3. Our services

JWBN is a marketing and management agency for content creators. Depending on what is agreed with each client, our services may include account and platform management, marketing and social strategy, content production and photoshoots, collaborations and partnerships, and brand deals and sponsorships ("Services").

The Website provides general information about JWBN and a means of contacting us. Information on the Website is provided for general informational purposes only and does not constitute an offer, advice or a binding commitment to provide Services.

4. Engagement agreements prevail

The specific scope of Services, deliverables, fees, payment terms, duration and any other commercial terms applicable to a particular client are set out in a separate written engagement agreement, statement of work, proposal or order (an "Engagement Agreement") entered into between JWBN and the client. The Engagement Agreement governs the relevant Services.

In the event of any conflict or inconsistency between these Terms and an Engagement Agreement, the Engagement Agreement prevails in respect of the Services it covers. These Terms continue to apply to the extent not addressed by, or inconsistent with, the Engagement Agreement.

5. Client responsibilities

To enable us to deliver the Services, you agree to:

• provide accurate, complete and timely information, materials, access and approvals as we reasonably request;
• ensure that any content, accounts, credentials or materials you provide to us, and our agreed use of them, do not infringe the rights of any third party and comply with applicable laws and the terms of the relevant third-party platforms;
• obtain and maintain any consents, licences and permissions necessary for us to perform the Services on your behalf;
• cooperate with us, respond to requests for feedback and approvals without undue delay, and designate a contact authorised to give instructions; and
• comply with applicable laws, including advertising, marketing and disclosure rules relating to sponsored and promotional content.

Delays or failures caused by a client not meeting these responsibilities are not the responsibility of JWBN, and may affect timelines and fees.

6. Fees, invoicing and payment

Fees for the Services are set out in the relevant Engagement Agreement and are billed by invoice per engagement. Unless the Engagement Agreement states otherwise:

• invoices are payable within the period stated on the invoice or in the Engagement Agreement;
• fees are exclusive of any applicable value added tax (VAT) and other taxes, which are payable in addition where due;
• third-party costs and disbursements incurred on your behalf (for example, platform fees, talent, locations or production costs) are payable by you in addition to our fees; and
• we may suspend the Services or charge interest on overdue amounts to the extent permitted by law where invoices are not paid when due.

7. Intellectual property

Website content. All content on the Website, including text, graphics, logos and design, is owned by or licensed to JWBN and is protected by intellectual property laws. You may not copy, reproduce or exploit Website content without our prior written consent, except as permitted by law.

Pre-existing materials. Each party retains ownership of its own pre-existing materials, know-how, tools and methodologies. JWBN retains ownership of the methods, templates, processes and know-how it uses to deliver the Services. The client retains ownership of materials, brands and accounts it provides to us.

Deliverables. Ownership of, or a licence to use, the specific deliverables created for a client is governed by the relevant Engagement Agreement. Unless that agreement states otherwise, rights in deliverables transfer to the client only upon full payment of the related fees, and any JWBN pre-existing materials incorporated into a deliverable are licensed, not assigned, to the client for use of the deliverable for its intended purpose.

8. Confidentiality

Each party may receive confidential information of the other in connection with the Services. Each party agrees to keep the other's confidential information confidential, to use it only for the purposes of the engagement, and not to disclose it to third parties except to its personnel and advisers who need to know it and are bound by equivalent obligations, or as required by law. This obligation does not apply to information that is or becomes public through no breach of these Terms, was already lawfully known, or is independently developed.

9. Warranties and disclaimers

We warrant that we will perform the Services with reasonable care and skill. Except as expressly stated in these Terms or an Engagement Agreement, and to the fullest extent permitted by law, the Website and the Services are provided "as is" and we make no other representations or warranties of any kind, whether express or implied, including any implied warranties of satisfactory quality or fitness for a particular purpose.

We do not warrant that the Website will be uninterrupted or error-free, or that any particular commercial outcome, audience growth, engagement level, brand deal or revenue will be achieved, as these depend on factors outside our control, including the policies and actions of third-party platforms and partners.

10. Limitation of liability

Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.

Subject to the paragraph above, and to the fullest extent permitted by law:

• neither party is liable for any indirect, special or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data, arising out of or in connection with the Services or these Terms; and
• JWBN's total aggregate liability arising out of or in connection with an engagement, whether in contract, tort (including negligence) or otherwise, is limited to the total fees paid by the client to JWBN for the Services giving rise to the liability in the twelve (12) months preceding the event giving rise to the claim, unless a different limit is agreed in the Engagement Agreement.

11. Term, suspension and termination

These Terms apply while you use the Website. The term of any Services, and the rights of each party to suspend or terminate them, are governed by the relevant Engagement Agreement and our Refund and Cancellation Policy. We may restrict or suspend access to the Website at any time where reasonably necessary, for example for maintenance, security or legal reasons.

12. Third-party platforms and links

Our Services often involve third-party platforms (for example, social-media and content platforms) and our Website may link to third-party websites. We do not control these platforms or websites and are not responsible for their content, availability, policies or practices. Your use of them is governed by their own terms.

13. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the Republic of Cyprus. The courts of the Republic of Cyprus have exclusive jurisdiction to settle any such dispute or claim, unless a different dispute-resolution mechanism is agreed in an Engagement Agreement.

14. Changes to these terms

We may update these Terms from time to time. The "Last updated" date indicates when they were last revised. Changes take effect when posted on the Website. Your continued use of the Website or our Services after changes are posted constitutes acceptance of the revised Terms. Changes do not affect engagements already governed by a signed Engagement Agreement, except as that agreement allows.

15. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right is not a waiver of that right. You may not assign your rights or obligations under these Terms without our prior written consent.
